CONSTITUTION OF THE

TENNESSEE VALLEY WOODWORKERS

ARTICLE 1 — NAME

 

This organization shall be known as the Tennessee Valley Woodworkers.

 

ARTICLE 2 — PURPOSE

 

The Club shall be organized to exchange information concerning woodworking products, techniques and materials, increase awareness of tool safety, and enhance fellowship among those with common woodworking interests.

 

ARTICLE 3 — GOVERNANCE

Section 1. Officers

 

Officers of the club shall be a President, Vice President, Secretary, Treasurer, Publicity Chairman, and Newsletter Editor.  

Section 2 – Executive Committee

 

There shall be an Executive Committee consisting of the elected officers and the immediate past President and Vice President.  In the event of a vacancy, the President shall nominate a member to serve.  The new member shall be enacted by a majority vote of the elected club officers.

 

ARTICLE 4 — MEMBERSHIP

Section 1

 

Membership shall be made available to those in the Tennessee Valley who are interested in woodworking. Club participation by organizations shall be available through associate membership.  Regular membership shall be available on an individual and family basis.  For the purpose of family membership, family shall be defined as persons in the same household.

 

 

Section 2

 

Membership shall be terminated by:

1)                 The member, upon written notice of resignation.  Prorated dues shall be returned to the resigned member.

2)                  The Executive committee, based on a subjective judgment that continued membership is not in the best interests of the Club.  Prorated dues shall be returned to the terminated member.

3)                  Failure to pay dues in a timely manner as determined by the Executive Committee.

 

ARTICLE 5 — MEMBERSHIP PRIVILEGES

 

All members in good standing may vote, participate in meetings, product demonstrations, and Club projects and serve on committees (other than the Executive Committee).  Holding an elected office shall be restricted to regular members in good standing who are 18 years or older.

 

ARTICLE 6 -- DUES

 

Dues shall be based on the calendar year and set for each year by the Executive Committee.  Members joining during the year shall pay dues prorated over the remainder of the year.  Members joining between November 1 and the following January 31 shall pay the full year’s dues.  Dues shall be discounted at an amount set by the Executive Committee for each month thereafter until November 1 of each year at which time the next full year’s dues shall again be due.  The prorated monthly discounted rates shall be published by the Executive Committee in advance of the period in which they are to be in effect.

 

ARTICLE 7 -- MANAGEMENT

Section 1 -- Officers

 

Club development, long range planning and overall policy determination shall be vested in the Executive Committee. The elected officers shall have control of the day-to-day Club affairs and act for the Club in business matters.

 

 

Section 2 -- Chairman

 

The Club President shall be the Chairman of the Executive Committee and shall hold regular meetings as required.

 

Section 3 -- Quorum

 

Five members of the Executive Committee shall constitute a quorum.

 

ARTICLE 8 — MEETINGS AND PROGRAMS

 

All meetings of the Club shall be conducted under the direction of the President or Vice President.   Committee chairman appointed by the President shall direct programs, including but not limited to demonstrations, classes, and seminars or symposiums.

ARTICLE 9 — RESIGNATIONS

 

Resignations of officers shall be tendered in writing to the Executive Committee.

 

ARTICLE 10 -- REMOVAL OF OFFICERS AND MEMBERS

 

Any officer or member may be removed by a 2/3 vote of Executive committee excluding the person in question.  The officer or member being removed must be notified before the Executive Committee meeting in which the vote shall be taken.
